Disclosure: I do own CoreWeave (NASDAQ: CRWV), and after this piece and the recent quarter I’ve become more optimistic about its prospects, however, any slowdown in AI demand or competition from Chinese frontier models could rapidly unravel the story. I’m not a buyer at anything over $100/share, but would gladly pick more up at $70 or less. Full disclaimer at the end.
Revenue crossed $2.6 billion and grew 112% year-over-year for the second straight quarter — the number bulls have been pointing to all year. The number bears have been pointing to — GAAP operating margin — is still negative. It got less negative. That’s the whole quarter in two sentences, and the stock traded up 19% on it.
1. The Setup
CoreWeave’s position looks like Sunderland’s 2025–26 season: a club playing in League One, English football’s third tier, just three years earlier — promoted, and then finishing 7th in the Premier League, good enough for Europa League football in its first season back. The results already look top-flight: multi-year, low-double-digit-billion-dollar contracts with Microsoft, OpenAI, and Meta, the kind of clients an established provider (AWS, Azure, Google Cloud) would expect to keep for itself. The scoreline backs it up — revenue up 112% year-over-year for two straight quarters now.
The August 12 fixture followed the same script — a 19%-stock-price statement win, revenue up 112% again, and the fixture list for the rest of the campaign (its $103.7 billion backlog, 13x trailing revenue) growing even faster than the scoreline itself. But a strong debut season isn’t the same as proving you belong there financially, and that’s the test a newly-promoted side almost always faces next: spend and borrow past what the business can sustain while chasing results, and the sanctions — a real points deduction under profitability-and-sustainability rules, or a market re-rating that does the same job — catch up regardless of the scoreline. CoreWeave is financing its own version of that spending push almost entirely on credit: $35.5 billion of debt, $31.4 billion of it guaranteed directly by the parent company rather than ring-fenced the way a well-structured loan usually is. Operating margin — the closest thing this business has to its own sustainability test — was negative in four of the last six quarters. An improved loss is still a loss.
The forward 12 months are, in effect, the second season — the one that decides whether last year’s level was real or a hot start. 41% of the $103.7 billion backlog is scheduled to convert to revenue within 24 months, so the next several quarters are less about finding new fixtures than about actually playing the ones already on the calendar and winning by the expected margin. To turn a strong debut into a durable one — to keep beating expectations rather than just meeting them — three things have to go right in that window. First, the sustainability test has to start passing rather than just improving: operating margin needs to turn durably positive, not merely less negative, as the facilities that came online in 2025–2026 move from freshly signed to actually match-fit. Second, the company has to keep servicing its debt without another emergency share sale to the fans (further dilutive capital raises) or a re-pricing of how expensive its borrowing has become — new 2026 debt is already pricing 150–200 basis points above the older vintage. Third, it needs genuine strength in depth rather than reliance on two or three star performers: Microsoft alone provided 67% of last season’s output, and while that’s down to 36% this quarter, “depth” here still means three names account for nearly three-quarters of the goals. Where the company’s actual focus sits right now, going by where the spending is going, is the training ground — building, energizing, and staffing new facilities with the newest available equipment fast enough to keep a head start over opponents with vastly deeper pockets, who could, in theory, simply build a rival facility next door.
2. What They Do
CoreWeave rents access to large clusters of NVIDIA GPUs and the software, networking, and data-center infrastructure built around them, so AI labs and enterprises can train and run AI models without building that infrastructure themselves. Customers sign multi-year committed contracts — 98% of revenue in every period disclosed comes from committed contracts rather than on-demand usage — that typically include upfront or milestone-based prepayments, which is why deferred revenue ($9.7 billion as of June 30, 2026) and operating cash flow have grown even as the company posts large GAAP net losses. Revenue is recognized as compute capacity is delivered and consumed; growth is essentially a function of how much data-center capacity CoreWeave can build, energize, and fill.
CoreWeave’s own account, from the 10-K, of why customers pick it over the hyperscalers: general-purpose cloud infrastructure, in its telling, wasn’t built for AI workloads’ density, networking, and storage demands, while its platform is purpose-built for them — citing speed-to-market with each new NVIDIA GPU generation (first-to-deploy GB200 and GB300 systems), proprietary orchestration software (Mission Control), and a lower total cost of ownership as the pillars of that advantage. One claim is third-party-verifiable rather than pure self-description: CoreWeave states it achieved SemiAnalysis’ Platinum ClusterMAX rating for a second consecutive year in 2025 and remains, in its own words, “the industry’s sole Platinum provider” — an outside benchmarking firm’s grading, not just CoreWeave’s own marketing copy. Whether this differentiation is durable, and what could erode it, is examined in §8.
3. The Numbers as Reported
Revenue (quarterly, $M): Q1’25 $981.6 → Q2’25 $1,212.0 → Q3’25 $1,364.7 → Q4’25 (implied) $1,572.7 → Q1’26 $2,078.0 → Q2’26 $2,575.0. Q2 2026 revenue grew 112% year-over-year and 24% sequentially; management attributes ~93% of the year-over-year increase to expansion within the existing customer base. Full-year figures: FY2023 $229M → FY2024 $1,915M (+736%) → FY2025 $5,131M (+168%).
Margins, GAAP (no non-GAAP figures are disclosed in these filings):

The number flagged as thesis-critical: this is the first entry in this series for CRWV, so there is no prior “flagged number” to grade. Going forward, operating margin is the number to track. Q2 2026 came in at (1.9)% — an improvement from Q1 2026’s (6.9)%, but still a loss, and still well below Q3 2025’s
Cash / balance sheet (June 30, 2026):

CoreWeave guided Q3 2026 to $3.45–$3.6B revenue (implying ~158% YoY growth at the midpoint), $200–$260M adjusted operating income, $860–$940M interest expense, and $11.5–$13.5B capex. It also raised full-year 2026 guidance to $12.4–$13.2B revenue (up from a prior $12–$13B given in May), $960M–$1.15B adjusted operating income (up from $900M–$1.1B), and $35–$39B capex, with an exit-ARR target of $18.5–$19.5B and Q4 adjusted operating margin guided to the “low teens.” All of this is non-GAAP, adjusted guidance — the company does not guide GAAP net income or operating income, and “adjusted operating income” excludes items (stock-based compensation among them) that meaningfully affect the GAAP operating losses discussed throughout this post; the two shouldn’t be compared directly.
4. Strengths (Bull case, evidenced)
- Backlog dwarfs current revenue and is growing faster than revenue is. Unsatisfied RPO went from $60.7 billion (Dec 31, 2025) to $103.7 billion (June 30, 2026) — a 71% increase in six months, against revenue growth of “only” 112% annualized. 41% of that backlog is scheduled to convert to revenue within 24 months.
- Customer concentration is easing in relative terms even as it stays extreme in absolute terms. Microsoft alone was 67% of FY2025 revenue and 71% of Q2 2025 revenue; by Q2 2026 the largest customer was 36% and the top three combined were ~72%. The base is broadening (three large names instead of one dominant one), even if “broadening” still means three customers account for nearly three-quarters of revenue.
- New, large, multi-year commitments from OpenAI (~$11.9B and ~$6.5B disclosed across two separate 2025 master service agreements) and Meta (~$14.2B through December 2031) diversify the revenue base beyond the original Microsoft relationship and extend visibility out to 2030–2031.
- Operating cash flow turned strongly positive — $3.66 billion in H1 2026 versus cash used of $190 million in H1 2025 — driven by depreciation add-backs and continued growth in deferred revenue (customer prepayments), even as the GAAP income statement shows a widening net loss.
- Scale and first-mover positioning with NVIDIA’s newest hardware. CoreWeave states it has been first-to-market with GB200, GB300, and RTX Pro 6000 systems and plans to deploy the Rubin platform in the second half of 2026 — a genuine speed advantage in a market where being early to the newest chip generation has translated directly into pricing power and customer wins so far.
5. Weaknesses / Risks (bear case, evidenced)
- Margin compression is real, not noise, and it’s structural until proven otherwise. Gross margin ran 73–74% through Q3 2025 and has sat at 65–66% for three straight quarters since. Management attributes the Q2 2026 cost-of-revenue increase specifically to rent on newly opened data centers (+$335M), utilities/power (+$87M), and depreciation on power infrastructure (+$79M) — costs that show up before a new facility is fully utilized. This is plausibly a ramp-timing issue that resolves as utilization catches up (cyclical), but the filings don’t disclose utilization rates or per-facility economics, so there’s no way to confirm that from the numbers alone. Flagged as an open item, not a resolved one.
- The debt load is large, expensive, and mostly a direct obligation of the parent company — and the more important question is whether operating results actually cover the interest bill. Total debt principal grew from $8.0B (Dec 2024) to $21.6B (Dec 2025) to $35.5B (June 2026). Of the June 2026 balance, $31.4B is recourse debt — “direct obligations of CoreWeave, Inc. or obligations of…subsidiaries that are unconditionally and irrevocably guaranteed by CoreWeave, Inc.” — versus only $3.7B genuinely non-recourse to the parent. Stated interest rates on facilities issued in 2026 run as high as 9.75%–10%, well above investment-grade levels. The answer to “can they cover it” depends entirely on which lens you use, and the two lenses tell different stories:

On a pure GAAP operating-income basis, interest has never been covered in any period shown — operating income has been negative or barely positive every quarter, while interest expense has grown every single quarter. But GAAP operating income is dragged down by depreciation on newly built capacity that isn’t fully utilized yet — a real cost, but a non-cash one. Add depreciation back (EBITDA) and coverage turns modestly positive, around 2x. Look at actual operating cash flow — the truest measure of whether the business is generating the cash to service this debt — and coverage improved from negative (H1 2025) to a comfortable ~3.1x (H1 2026), driven mainly by customer prepayments flowing through deferred revenue. That’s a real, positive trend, not a wash. But it also means the debt-service story currently rests on continued growth in prepaid bookings and cash generation outpacing the pace of new debt issuance ($16.7B raised gross in H1 2026 alone) — not on GAAP profitability, which isn’t there yet by any measure.
- This is a structural risk, distinct from the margin-compression question above: even if gross margins normalize as data centers fill up, the debt service load is now large enough that it materially affects the return on that revenue, and it continues to grow with each new financing round.
- A meaningful share of the debt floats with rates, only partially hedged, and covenant breaches — not just rate moves themselves — are the real mechanism that could force early repayment. The DDTL credit facilities, the largest slice of CoreWeave’s borrowings, are priced at SOFR plus a spread, and the company states directly that “the majority” of this floating-rate exposure is unhedged (only one facility, DDTL 3.0, carries a mandatory swap requirement, covering at least 75% of its own balance). Disclosed sensitivity: a 100-basis-point move in rates changes interest expense by ~$107 million, based on the December 31, 2025 debt balance (~$21.6B) — total debt has since grown to $35.5B+, so the current dollar sensitivity is very likely larger than that disclosed figure. The transmission mechanism to early repayment isn’t automatic — it runs through covenant compliance: DDTL facilities carry financial maintenance covenants, and one project-level example found in the exhibits requires a Debt Service Coverage Ratio of at least 1.40x, effective October 2027. A covenant breach, from rising interest expense or otherwise, triggers an event of default, which can force repayment before maturity — a materially different (and faster) risk than simply “interest expense goes up.” Fixed-rate instruments (the Senior Notes and Convertible Notes, ~$8.9B combined) aren’t exposed to this specific risk, but that’s a minority of the total debt load.
- Litigation, currently an allegation, not a finding. A putative securities class action (Raymond Masaitis v. CoreWeave, Inc. et al., filed January 12, 2026, D.N.J.) alleges false and misleading statements in violation of Sections 10(b) and 20(a) of the Exchange Act and Rule 10b-5. Multiple derivative actions followed (filed February–May 2026, largely consolidated, with proceedings stayed pending resolution of the securities action). The company states the claims are without merit and has accrued nothing for potential loss. This is an allegation, not a confirmed finding, and should be treated as such — but it is unresolved, and its resolution is a real catalyst either way.
- Unremediated material weaknesses in internal controls. Identified while preparing FY2024 financials, related to IT general controls, segregation of duties, and insufficient qualified accounting personnel — and the 10-K states these weaknesses “continued to exist as of December 31, 2025.” The company will not be required to give a formal management assessment under Sarbanes-Oxley Section 404 until the FY2026 10-K.
6. The Driver
The infrastructure buildout itself is the driver — there isn’t a distinct “segment” to isolate, because CoreWeave reports as a single operating segment. The mechanism moving the numbers this cycle is simple: active data-center capacity went from ~70 MW (Dec 2023) to ~360 MW (Dec 2024) to over 850 MW (Dec 2025), against 3.1 GW of total contracted power capacity still to be deployed as of the last disclosed figure (the June 2026 10-Q does not update the MW figure). Each new facility that comes online adds revenue with a lag — cost of revenue and depreciation land immediately, utilization and full-rate billing ramp afterward — which is the mechanical explanation for the gross-margin compression discussed above. Two new, large order forms signed in September 2025 (the ~$6.5B OpenAI order and the ~$14.2B Meta order) are what pushed RPO from $60.7B to $103.7B; converting that backlog into revenue, on schedule, at the assumed margin, is effectively the entire near-term thesis.
7. Who Else is on the Field
CoreWeave doesn’t cleanly fit one bucket from the standard list, and forcing it into one would hide the more interesting tension:
- Against the hyperscalers (AWS, Azure, Google Cloud, and — per the 10-K’s own competitor list — Oracle), CoreWeave is the smaller, more specialized challenger, winning share in a narrow niche (GPU-optimized AI infrastructure) through speed-to-newest-hardware rather than breadth. That’s “winning side of a contested fight” — but with a twist: two of its largest customers (Microsoft, and to a lesser extent Meta) are also among the world’s largest builders of competing in-house AI infrastructure. The same companies funding the backlog could, in principle, in-source the workload over time. That’s the giant-shows-up pattern layered on top of the contested-fight pattern.
- Against other “neocloud” GPU-rental specialists (Nebius is the most direct, closely-watched public comp; others such as Lambda remain private), this is a genuine multi-player race for the same category of customer and the same NVIDIA allocation queue — closer to a two-to-three-horse race, unsettled, where scale (CoreWeave is roughly 5–6x Nebius’s trailing revenue) is a real advantage but not a moat by itself.
- On the supply side, CoreWeave discloses that “all of the GPUs used in our infrastructure today are NVIDIA GPUs” — a single-supplier dependency that cuts both ways: it’s the source of CoreWeave’s first-to-market advantage (priority access to new NVIDIA generations, reinforced by NVIDIA’s $2 billion equity investment in January 2026 and a “collaboration framework” announced the same month), and it’s also a concentration risk if allocation priorities ever shift.
This combination — specialized-but-contested against giants, genuinely multi-player among neocloud peers, single-supplier-dependent on the input side — is what determines almost everything else in this post: it’s why the moat (§8) is more about speed and financing access than about anything durable, and why the valuation section (§10) can’t lean on a clean peer set.
8. Moat and Margin Durability
Moat sources: speed to the newest NVIDIA hardware generations (first-to-market with GB200/GB300, planned Rubin deployment in H2 2026); scale of committed, prepaid, multi-year contracts that lock in demand years in advance; accumulated build-and-operate expertise in stand-up-a-data-center-fast execution.
What would erode it: (1) a large customer in-sourcing capacity rather than renewing — the same hyperscalers CoreWeave depends on for the bulk of its revenue have far larger balance sheets to build their own infrastructure; (2) NVIDIA allocation priorities shifting toward hyperscalers’ own build-outs or toward a competing neocloud; (3) a GPU generation where CoreWeave isn’t first-to-market, eroding the speed advantage that currently justifies premium pricing.
Margin defensibility: the filings don’t support a claim that the current margin compression is protected by the moat — it looks, on the evidence available, like a financing-and-ramp-timing story rather than a pricing-power story. Gross margin held steady at 73–74% for three straight quarters (Q1–Q3 2025) before compressing to 65–66% as new capacity came online faster than it filled up; that’s consistent with normal infrastructure ramp lag, not with customers extracting worse pricing. The more fragile piece is the cost of capital: interest rates on new 2026 debt issuances (9.75%–10% on several facilities) are materially higher than the earlier 2024 vintage, and total interest expense is now large enough relative to operating results that the after-financing economics of each new data center matter as much as the unit economics of the data center itself.
9. Reading the Fine Print – Forensic Read of the Filing
9.1 Share structure & dilution. Single-class economically, multi-class for voting — not an Up-C structure. Class A common stock carries one vote per share, Class B carries ten votes per share (held entirely by co-founders), Class C carries no votes and none is outstanding. As of June 30, 2026: 457M Class A shares outstanding, 94M Class B shares outstanding — total economic shares of 551M. Doing the math on voting power: (94M × 10) ÷ [(94M × 10) + (457M × 1)] = 940 ÷ 1,397 ≈ 67% of voting power held by co-founders, even though Class B is only 17% of total shares outstanding. Worth flagging on its own: someone tracking only “Class A shares outstanding” would understate the true share count by roughly 17%. Share count has grown fast: weighted-average basic shares went from 245.6M (Q1 2025) to 551M (Q2 2026), driven by stock-based compensation, stock-funded acquisitions (Marimo Inc., closed October 2025, paid in 844,735 Class A shares), and private stock placements ($2.98B raised in H1 2026 alone). Convertible notes ($2.588B due 2031 at 2%, plus a new $4.0B tranche due 2032 at 1.75% issued in April 2026) represent 57M potential additional shares currently excluded from diluted EPS as anti-dilutive (the company is loss-making); that overhang converts to real dilution the moment the company turns profitable.
Founder / Insider Transactions. All four co-founders — CEO Michael Intrator, CSO Brian Venturo, CDO Brannin McBee, and CTO Peter Salanki — were bound by a 12-month Founder Lock-Up Agreement with Magnetar Financial running from the IPO’s effective date (~late March 2025) to ~late March 2026, on top of the standard underwriter lockup. Confirmed Form 144 activity for Intrator shows steady, effectively continuous selling since at least December 2025, across two sequential Rule 10b5-1 plans (adopted May 23, 2025, then a larger one November 20, 2025): roughly bi-weekly sales (~$3M) through Q1 2026, stepping up to a mechanical ~$20–25M/week (200,000 direct Class A shares + 107,693 via Omnadora Capital LLC) from April 2026 onward, tracking toward the second plan’s ~9.05M-share authorized maximum by its September 30, 2026 window close. Through all of it, his single largest and highest-vote block — 21,867,489 directly-held Class B shares, carrying ten votes each — has not been touched; the selling has come entirely from a separate Class A pool and from Class B-to-Class A conversions inside Omnadora, plus a near-total wind-down of one small family trust (the PMI 2024 F&F GRAT, ~137K shares). Net effect: steady, sustained selling, with his core voting-power position preserved. Lastly, no open-market insider buying is confirmed among any of the four founders; the one large purchase in the record is NVIDIA’s $2 billion equity investment (January 2026, a strategic/commercial stake, not comparable to founder buying).
9.2 Quality of earnings. No material non-cash gains are inflating reported results. The only fair-value item is a modest $27M gain in H1 2025, immaterial against a $605M net loss for that period; FY2025 and H1 2026 losses are “clean” in the sense that they’re driven by real operating costs and real interest expense, not accounting gains masking weak fundamentals. One softer item worth flagging: capitalized interest (interest on debt during asset construction, which reduces the interest expense line and adds to property and equipment instead of hitting the income statement) grew from $36M (H1 2025) to $176M (H1 2026) — a 5x increase. This is standard GAAP treatment for assets under construction, not a red flag by itself, but it means a growing share of the true financing cost is being deferred onto the balance sheet rather than showing up in the loss statement today. Depreciation and amortization more than doubled year-over-year ($2,540M in H1 2026 vs. $1,003M in H1 2025), and is the single largest driver of the operating-margin compression discussed in §5. No divergence between headline net income and diluted EPS attributable to common stockholders was found — the multi-class structure here affects voting, not economic participation, so no adjustment is needed on that front. No cash-flow-statement reclassifications were identified in the sections reviewed; this is noted as “not found” rather than a confirmed clean bill, since a full multi-year reclassification review was not performed.
9.3 Related-party transactions & customer concentration. Magnetar Financial LLC was a related party through March 2025 (board seat relinquished, voting stake fell below 10%); an option Magnetar held to buy up to $15M of Class A stock at the IPO price was exercised in March 2026, with shares issued in April 2026. An equity exchange agreement (September 2024) lets co-founders convert Class A shares received from equity awards into Class B (voting) shares. An unconsolidated joint venture entered into in June 2025, involving a related party, covers a multi-phase New Jersey data-center campus; the filings don’t fully detail the counterparty’s identity or ownership split in the sections reviewed, so that’s flagged as an open item rather than asserted. Customer concentration is sized explicitly in every filing (see §4/§5 above) — Microsoft at 67% of FY2025 revenue, easing to a top-three concentration of ~72% by Q2 2026 spread across Microsoft, OpenAI, and a third customer.
9.4 Off-balance-sheet items & contingent liabilities. Litigation is labeled and treated here as allegation, not confirmed finding (see §5) — the securities class action and consolidated derivative actions remain unresolved as of the June 30, 2026 filing, with no loss accrued. Two unconsolidated joint ventures for data-center development represent a genuine off-balance-sheet-style exposure: the company committed up to $1.7 billion in funding, is not the primary beneficiary, and does not consolidate them, even though it will eventually be admitted as a member and required to fund further development — carrying value was $479M as of June 30, 2026, of which $221M is an equity-method investment. Maximum loss exposure is capped at the $1.7B commitment. No going-concern language was found anywhere in the filings reviewed.
9.5 Segment & geographic disclosure. CoreWeave reports one reportable segment; the CEO, as chief operating decision maker, reviews results on a consolidated basis. Worth flagging: the company’s narrative emphasizes a global AI platform, but the footnotes show 93% of Q2 2026 revenue ($2,389M of $2,575M) came from the United States, and 88% of long-lived assets are US-located as of both June 30, 2026 and December 31, 2025 — a mild gap between the “global platform” framing and the still heavily domestic footprint, not a contradiction, but worth naming.
9.6 Auditor & accounting notes. Deloitte & Touche LLP (PCAOB ID No. 34), San Jose, CA — no auditor change is disclosed, and this appears to be the first audit opinion issued since CoreWeave became a public reporting company (IPO March 2025), so there’s no prior-auditor comparison to make. Deloitte flagged two critical audit matters in the FY2025 opinion: (1) revenue recognition — specifically, the judgment involved in determining whether certain customer contracts should be accounted for as cloud-service revenue contracts or as equipment lease contracts, which affects timing and amount of revenue recognized; and (2) consolidation accounting for the New Jersey data-center joint venture — the judgment involved in determining whether CoreWeave is the VIE’s primary beneficiary and therefore required to consolidate it. Both are exactly the kind of judgment-heavy areas worth watching every subsequent filing for changes in conclusion.
On (1), management’s stated conclusion is that these are service contracts, not leases — customers don’t control specific, identified hardware, so revenue for committed contracts is recognized ratably over the contract term rather than front-loaded the way a sales-type lease would allow. That’s the more conservative outcome, but the judgment still carries real weight: CoreWeave’s own accounting policy states that its variable consideration estimate — the adjustment applied to revenue each period — explicitly includes “amounts that may not be recognized as revenue due to delivery delays.” That’s a forward-looking, judgment-based estimate, made and audited each period, of the same execution risk the Contract Realization Ratio debt covenant (§5, §9.4) tests after the fact using actual cash billed and received. If that estimate runs optimistic, GAAP revenue would look stronger in the near term than what ultimately gets billed and collected — and the gap wouldn’t surface in the income statement in real time, only later, as a shortfall against the covenant’s cash-based test. Two different mechanisms measuring the same underlying question, on two different timelines; no evidence either way on which has been accurate historically, but the connection is worth tracking as a single risk rather than two unrelated ones.
9.7 Verdict of this section (facts only). This is not a filing with a confirmed red flag on the scale of a fraud finding or going-concern qualification. It is a filing with several noted items that, taken together, argue for active monitoring rather than a clean bill of health: unremediated material weaknesses in internal controls, an active and unresolved securities class action, a debt structure that is overwhelmingly recourse to the parent at increasingly high stated rates, and two accounting areas — revenue classification and VIE consolidation — that the company’s own auditor has identified as requiring “especially challenging, subjective, or complex judgments.” Call it: filing with several noted items requiring the same ongoing-workstream treatment given to allegation-stage issues elsewhere — don’t treat a future price pullback as a clean valuation-only dip without checking whether any of these items has moved.
10. Valuation Entry Framework
10.1 Snapshot
- Price (August 12, 2026 close): $107.73; up 19.3% on the day, following Q2 2026 earnings released the prior evening.
- Market capitalization: $58.77 billion.
- 52-week range: $60.55 – $153.20. Current price is 30% below the 52-week high and 78% above the 52-week low.
